Terms of service
Last updated [date]. Between [company name], ABN [number] ("TradeMate", "we") and the business using TradeMate ("you").
1. The service
TradeMate is software for running a trade business: quotes, invoices, jobs, scheduling, cashflow forecasts and an AI assistant (Foreman). We'll take reasonable care to keep it running and secure, but we don't promise it will never be unavailable.
2. Your account
You're responsible for who you invite to your business and what they do in it, and for keeping logins secure. The person who signs the business up is its owner in TradeMate.
3. Free trial and fees
New businesses get a 30-day free trial with no card, including 100 texts. After that the plan is $99 a month including GST for the business, billed monthly in advance through Stripe, plus 10c including GST for each text TradeMate sends for you. If card payments are turned on, TradeMate keeps 0.5% of each card payment, and Stripe charges its own fees under your agreement with Stripe. We'll give you at least 30 days' notice of any price change.
4. If you don't pay, or cancel
If a payment fails, your account stays working for [14] days while it's sorted out; after that it becomes read-only. You can cancel at any time; there's no minimum term. Your information isn't deleted when you cancel; you can ask for a copy, or for it to be deleted, as set out in the privacy policy.
5. Your information
Your business's information stays yours. You give us permission to use it to provide TradeMate to you, as described in the privacy policy. You're responsible for having your customers' permission to keep their details and to contact them, including under the Spam Act 2003 for texts and emails.
6. Foreman and the numbers
Foreman drafts and suggests; you decide. Nothing goes to a customer and no money moves until you approve it. Forecasts and suggestions are estimates from your information; check anything important before you rely on it, and talk to your accountant about tax. You're responsible for the quotes and invoices you send, including that they meet the rules that apply to your business (such as tax invoice and home building contract requirements).
7. Fair use
Don't use TradeMate to send spam, break the law, or interfere with the service or other businesses using it. We may suspend an account that does.
8. Other services
Xero, ServiceM8, Stripe and others are run by their own companies under their own terms. We're not responsible for them, but we'll tell you if something we rely on changes in a way that affects you.
9. Liability
Nothing in these terms excludes rights you have under the Australian Consumer Law. Otherwise, to the extent the law allows, our liability is limited to resupplying the service or refunding [the fees you paid in the previous 12 months], and we're not liable for indirect losses. [To be confirmed by legal review.]
10. General
These terms are governed by the law of [state]. We may update them, with at least 30 days' notice of significant changes. Questions: [contact email].
